Mutual Non-Disclosure Agreement

Purpose

This Mutual NDA provides a baseline confidentiality framework for discussions between OpenAutonomyx (OPC) Private Limited and customers, vendors, partners, sponsors, publishers, prospects, and advisors. A signed NDA or master agreement controls where it conflicts with this page.

Confidential Information

Confidential Information includes non-public business, product, roadmap, source code, architecture, security, model, pricing, customer, financial, operational, legal, technical, credential, integration, vulnerability, and procurement information disclosed by either party.

Duties

Each party must protect the other party's Confidential Information using reasonable care, use it only for the permitted business purpose, disclose it only to representatives with a need to know, and ensure those representatives are bound by confidentiality obligations.

Exclusions

Confidential Information does not include information that is publicly available without breach, already known without restriction, independently developed without use of the other party's information, or lawfully received from a third party without confidentiality restriction.

Term

Confidentiality obligations continue for five years from disclosure unless a signed agreement states otherwise. Trade secrets remain protected for as long as they qualify as trade secrets under applicable law.

Return, Destruction, and Remedies

On request, each party will return or destroy Confidential Information, except archival copies retained for legal, compliance, backup, or dispute purposes. Unauthorized disclosure may cause irreparable harm and may support injunctive relief in addition to other remedies.
